dignity and care. We are looking for vibrant and trailblazing individual to join our team in the following role(s):

Company Secretary X1: (Head Office)
Reporting to the General Manager/CEO, the successful candidate will be responsible for ensuring the integrity of NSSA's corporate governance framework, administration of the company corporate secretarial affairs, ensuring compliance with statutory and regulatory requirements and implementing decisions made by the Board of Directors. The role is to understand pressure points within the Authority, strategy and objectives of the business and effectively communicate the risks and legal issues involved in any decision to the Board and management to enable them to make informed strategic choices within an acceptable legal risk profile.

Duties and Responsibilities

• Provide advice and service to all members of the Board regarding their roles as directors.
• Lead the implementation of Corporate Governance Strategy and align department goals to those of the Authority in order to safeguard the Authority's legal and business risks.
• Maintain Board calendar and ensure that Board calendars are sent out on time for planning
purposes.
• Prepare and arrange for the Annual General Meeting.
• Prepare Board Chairperson and General Manager's report/statement.
• Organise and prepare agendas and papers for board meetings and board committee meetings, take minutes, draft resolutions, lodge required forms and annual returns with the relevant authorities and follow up on actions from meetings.
• Attend full Board and sub-committee meetings as Secretariat.
• Develop and Communicate subcommittee charters.
• Compile and manage Company files (articles of incorporation, regulations, share register, minutes, monthly reports and annual reports, etc.)
• Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies.
• Ensure compliance with company policies.
• Collaborate with management to monitor enforcement of standards and regulations

Qualifications and Experience

Qualifying Requirements
• A Degree in Law/Finance/Business administration.
• A professional qualification such as CIS or related field will be an added advantage.
• Should be a member of a related professional body.
• At least 5 years' experience as a company secretary and sound knowledge of corporate governance and compliance matters.

• Excellent knowledge of reporting procedures and record keeping.
• High level of confidentiality.
• Methodical and diligent with outstanding planning abilities
• Excellent communication skills, both written and oral and presentation skills.
• Highest levels of integrity, transparency and honesty.
